Article Forge Affiliate Agreement

Effective November 9, 2022

By signing up and/or submitting an application to be an affiliate in the Article Forge Affiliate Program (the “Program”), you agree to be bound by the following terms and conditions (the “Terms” or “Agreement”). Please ensure that you read them carefully before signing up or submitting an application. These Terms are a legal agreement between Article Forge, owned by Glimpse ai, (“Article Forge”, “we”, “us”) and You (the “Affiliate” or “you”).

We reserve the right to update and change these Terms from time to time. Any amendments, modifications, or changes to the Program including the release of new features and resources made available from time to time shall be subject to these Terms. Continued use of the Program after any such changes shall constitute your consent to such changes. 1) The Program

“Affiliate Program” and “Program” mean Article Forge’s program whereby Affiliates can earn commissions by referring new users to Articleforge.com

2) Enrollment in the Program

You must be 18 years of age or older to join the Program. You may submit an application to participate in the Program by submitting an accurate and complete application via Typeform on ArticleForge.com. After we receive your application, we will review and notify you of your acceptance or rejection to the Program. We may accept or reject your application at our sole discretion for any reason.

3) Referral Links & Promotion

Subject to our acceptance of you into the Program and your continued compliance with the terms and conditions of this Agreement, we will make available to you graphic and textual links to Articleforge.com website and/or other creative materials (collectively, the “Links”), which you may display on websites and/or social media accounts owned or controlled by you, in emails sent by you and clearly identified as coming from you, and/or in online advertisements posted by you (collectively, “Affiliate Media”). The Links will serve to identify you as a member of the Program and will establish a link from your Affiliate Media to Article Forge properties. It is your responsibility to ensure each link is correctly formatted.

4) Payment

Subject to our acceptance of you into the Program and your continued compliance with the terms and conditions of this Agreement, we will pay you for each Qualified Sale (the “Commission”). A “Qualified Sale” means an individual who (i) accesses an Articleforge.com website and/or other creative materials via a Link from your Affiliate Media, where the Link is the last link for that individual to the linked Article Forge property, (ii) is not a computer-generated user, such as a robot, spider, computer script or other automated, artificial or fraudulent method of accessing the Article Forge properties by anything other than an individual, live person, (iii) is not using pre-populated fields, (iv) completes all of the information required to create an Article Forge subscription account, (v) is not refunded as requested by the customer or due to a chargeback (vi) is not later determined by Article Forge to be fraudulent, incomplete, unqualified, or a duplicate. Your Commission for each Qualified Sale (paid plan) shall be 25% on the Sale Amount as long as a user is a customer. If a user pays monthly, you’ll be paid 25% of their monthly payment. If a user pays annual, you will receive 25% of their annual payment as commission. If a user upgrades or downgrades, your commission will match the new payment at 25% accordingly. If a user cancels, you will stop receiving commissions. There will be a 30 day hold period on all commissions earned for any Commissions earned monthly. That means that all of the commissions made during Month 1 will be paid on the 30th of Month 2 (Example: commissions made during May will be paid on June 30th). You must have over $100 in unpaid commissions for the payment to trigger. You are solely responsible for providing Article Forge with legitimate and proper payment details (such as working Paypal account information), and agree that your failure to provide Article Forge with this information within 90 days from signing up for the program shall result in the voiding of any Commissions earned.

5) Promotions

From time to time, Article Forge may offer you special promotional payment terms for Qualified Sale. Such promotional offers cannot be combined with other performance incentive bonuses. If multiple bonus or promotional offers coincide and apply to a Qualified Sale, you will receive the largest available payment out of all applicable bonus or promotional offers.

6) Affiliate Obligations

By submitting an application and participating in the Program, you agree to:

1. Have sole responsibility for the development, operation, and maintenance of your Affiliate Media, as well as all content on or linked to your Affiliate Media;
2. Ensure that all material and/or content posted on your Affiliate Media or otherwise used in connection with the Program: (i) is not illegal; (ii) does not infringe upon the intellectual property or personal rights of any third party; (iii) does not contain or link to any material that is harmful, threatening, defamatory, obscene, sexually explicit, harassing, promotes violence, promotes discrimination (whether based on sex, religion, race, ethnicity, nationality, disability or age), promotes illegal activities (such as gambling), contains profanity or otherwise contains materials that Articleforge.com informs you that it considers objectionable (collectively, "Objectionable Content");
3. Comply with all (i) obligations, requirements, and restrictions under this Agreement; and (ii) laws, rules, and regulations as they relate to your business, your Affiliate Media, your use of the Links, and/or your participation in the Program.
4. Comply with the terms, conditions, guidelines, and policies of any third-party services used by you in connection with your participation in the Program, including but not limited to email providers, social media platforms, and ad networks.

7) Additional Affiliate Restrictions.

As part of your participation in the Program, you agree to abide by the following additional policies and restrictions:

1. Trademark Policy. You may not use the Trademarked names Article Forge and Articleforge.com in any manner, including keyword bidding on search engines or any variation or misspellings thereof, in metatags or to direct traffic to any website other than our site. You may not use Article Forge and Articleforge.com in any manner or any variation or misspellings in your domain name. Affiliate is not allowed to impersonate Article Forge in any way that can suggest your company is Article Forge.
2. Keyword Bidding. You may not bid on any keyword or keyword string on any pay-per-click search engines where such keyword or keyword string is, or includes “Article Forge” and/or “Articleforge.com” or any variations or misspellings thereof without our prior express written consent. To request our consent, send your proposed keyword bid and any other relevant information to affiliates@articleforge.com.
3. Self-referral. Affiliate will not be paid any Commissions for payments made on Affiliate’s own user account(s). Affiliate is not permitted to open an Article Forge account under the name of another person or entity, under a fictitious name, or under any name merely for the purpose of obtaining Commissions. Affiliate may not pay for another person’s or entity’s account. Affiliate is not permitted to offer cash rebates or other monetary incentives to obtain sales.
4. Coupon Codes. Affiliate may not use any coupon code, promotion code, coupon, promotion or deal that is not expressly provided to them via Articleforge.com Affiliate Program portal. Any sales using such materials will be voided with commissions revoked.
5. Fraud. You are expressly prohibited from using any persons, means, devices or arrangements to commit fraud, violate any applicable law, interfere with other affiliates or falsify information in connection with referrals through the Links or the generation of Commissions or exceed your permitted access to the Program. Such acts include, but are in no way limited to, using automated means to increase the number of clicks through the Links or completion of any required information, using spyware, using stealware, cookie-stuffing and other deceptive acts or click-fraud. Article Forge shall make all determinations about fraudulent activity in its sole discretion.

8) Term and Termination

The term of this Agreement will begin upon your submission of a complete application to participate in the Program and will end when terminated by either party as provided herein. You may terminate this Agreement at any time by removing all Links from your Affiliate Media and deleting all copies of the Links, or by providing us with written notice. We may terminate this Agreement at any time, with or without cause, by providing you with written notice or disabling the Links. Notice by email, to your address in our records, is considered sufficient notice to you to terminate this Agreement.

9) Obligations Upon Termination

Upon termination, Article Forge will pay you any earned Commissions in accordance with Section 4, provided that you have provided us with legitimate and proper payment details as set forth in Section 4 above. Upon termination, you must immediately cease all use of and delete all Links and all Article Forge intellectual property, and cease representing yourself as an Article Forge affiliate. All rights to validly accrued payments, causes of action, and any provisions of this Agreement which by their terms are intended to survive termination (including but not limited to Sections 10 and 11) shall survive any termination.

10) Indemnification

You agree to fully defend, indemnify, and hold harmless Article Forge (including its affiliates and subsidiaries and each of their directors, officers, employees, and other representatives) from any and all claims, losses, and other liabilities to a third party arising out of your breach of any obligation or restriction in Sections 6 and 7 of this Agreement or your violation of any applicable laws.

11) Governing Law and Jurisdiction

The interpretation and validity of this Agreement will be governed by, and construed and enforced in accordance with, the laws of the State of Maryland (disregarding its conflicts of law principles). If a dispute arises in connection with this Agreement, each party irrevocably consents to exclusive jurisdiction and venue in the state and federal courts located in the State of Maryland.

12) Entire Agreement

This Agreement, as it may be updated in Article Forge’s sole discretion from time to time, constitutes the entire agreement between the parties and supersedes all other documents, purchase orders, or other communications with respect to your participation in the Program.
